GENERAL TRADE TERMS OF SYNOT TIP, a.s. PARTNER PROGRAM

 

1. Introductory provisions

1.1. The operator of this program is the trading company SYNOT TIP, a.s., with its registered office in Uherske Hradiste, Jaktare Land Registry No. 1475, postcode: 686 01, ID: 263 01 091, incorporated in the Commercial Register maintained by the Regional Court in Brno, Section B, Insert 3827 (hereinafter referred to as "SYNOT TIP" or "Operator").

1.2. Within this program, the partner is understood to mean a legal entity or natural person ? entrepreneur (hereinafter referred to as "Partner") managing and operating one or more websites ("Partner Website"), which is interested in promoting the SYNOT TIP website in compliance with these General Trade Terms of the Partner Program (hereinafter referred to as "Terms").

1.3. The SYNOT TIP Partner Program (hereinafter referred to as "Partner Program") is available to all Partners approved by SYNOT TIP in accordance with paragraph 3.1 of these Terms.

1.4. The subject of this contractual relationship is to place links and other advertising media provided by SYNOT TIP on the Partner Website in order to establish advertising cooperation with the mutual benefit of the contracting parties to these Terms.

 

2. Subject of contractual relationship

2.1. SYNOT TIP puts a selection of advertising media at the disposal of the Partner such as logos, banners, text links, courses, etc.

2.2. The Partner will enable users of its website to go directly to the SYNOT TIP website by placing one or more advertising media on the Partner Website. Using the assigned link codes, SYNOT TIP identifies customers who come through a link on the Partner Website.

2.3. SYNOT TIP is authorised to change, reduce or make available new advertising media at any time.

 

3. Course of contractual relationship

3.1. In order for a Partner to participate in the SYNOT TIP Partner Program, he must register by completing and submitting the form available on the partnerscz.synottip.com website. For the purposes of these Conditions, the conclusion of the cooperation agreement with the Partner is considered to be the consent and confirmation of the form by the Partner. The registration form must contain only true information. SYNOT TIP has the right to accept or reject the request without giving reasons. The Partner will be informed by e-mail whether the application for registration in the Partner Program has been confirmed.

3.2. SYNOT TIP will monitor all transactions and activities of customers brought by the Partner via the Partner's website and will create a regularly updated statistical report for the Partner. This overview will be available to the Partner after logging in to the SYNOT TIP Partner Program website. For the purposes of these Terms and Conditions, the Customer means a visitor of the Affiliate Website who registers for SYNOT TIP online betting after coming through the advertising resources provided to the Affiliate after registering in the Affiliate Program and placed on the Affiliate Website.

 

4. Commission calculation

4.1 If all the requirements set out in these Terms and Conditions are met, the Partner is entitled to a commission of 25% to 50% of the net profit generated by SYNOT TIP by customers who came via the Partner Website, opened an account on the SYNOT TIP website and they made a bet for real money.

4.2 The amount of the commission is graded into several levels depending on the net profit and the number of active clients in a given month. The amount of the commission is graded as follows:

In order to obtain the relevant commission, both the condition of net profit per month and the condition of the minimum number of active customers per month must be met. If the value of one of the conditions corresponds to a lower value of the commission than the value of the other of the conditions, the Partner is entitled to only a lower value of the commission.

Example: The achieved monthly net profit from customers brought in by the Partner is at the level of CZK 50,000. The number of active customers is 9. The partner is entitled to a commission of 25%.

4.3 SYNOT TIP reserves the right to exclude the Partner from the incentive program or set a commission of 25% at any time.

4.4 The Partner is not entitled to a commission in the event of a mere suspicion of a SYNOT TIP that the customer brought by the Partner, for whom the Partner should have a commission under these Conditions, is connected to him in any way, acts in agreement with him or is in fact the Partner himself. In the event of such fraudulent conduct by the Partner, he is obliged to return all commissions paid under the Partner Program if he is asked to return them by SYNOT TIP, within 10 days of receiving such a request by email or other appropriate means. The Partner acknowledges that the conduct described above may be qualified as a criminal offense or an attempt to fulfill the relevant facts.

4.5 Payment of the commission is limited to 1 year from the registration of the brought customer.

4.6 The Operator is entitled to change the rules for earning the commission, as well as the amount of the commission itself, at any time. The Operator is obliged to subsequently inform the Partner about this change.

4.7 In the event that the Partner has agreed with SYNOT TIP on other conditions regarding the amount or method of payment of this commission, this agreement shall take precedence over the general rules set out in these Conditions.

4.8 The Commission is calculated as a percentage of the net profit from the customer who has registered on the SYNOT TIP website in accordance with paragraph 3.2 of these Conditions. Net profit from the customer means the gross profit generated by the SYNOT TIP on the customer after deducting (i) taxes, fees and other similar payments stipulated by applicable law, (ii) license fees, (iii) marketing and administrative costs, (iv) costs for transactions and (v) betting or deposit bonuses or other premiums, or o Other demonstrably SYNOT TIP costs incurred. The gross profit generated by the customer is equal to the difference between the received deposits and the paid out winnings. Canceled bets or other incorrect transactions, which are later corrected, are also taken into account in the calculation of the customer's gross profit. Only bets placed and evaluated on the game internet odds bet, internet technical game and internet live game are included in the gross profit from the customer.

4.9 The commission is reduced by the value of the value added tax, which must be paid in the Czech Republic, to the partner who is not a registered taxpayer in the Czech Republic. The current value of value added tax is 21%. The commission calculation for these Partners is equal to the displayed commission divided by 1.21.

4.10 The commission to the partner is recognized only from the accounts registered through his cookie, which is valid for 30 days from the user's click on the ad element. If a user clicks on ad elements by more than one partner, the user belongs to the partner whose ad element was last clicked before registration (the "Last Cookie" rule).

 

5. Payment of advertising commissions

5.1 The minimum amount for the payment of the advertising commission for a calendar month is CZK 1,000 including VAT. In the case of lower earnings, the amount will be transferred to the following month and the Partner may request payment when his total commission exceeds CZK 1,000. There is no maximum limit.

5.2 The commission will not be paid if the Partner does not meet the requirements of Act No. 186/2016 Coll., On Gambling and the Act on the Regulation of Advertising, which are specified in clause 7.21.

5.3 The Operator will provide the Partner with access to the statement for the last calendar month after logging in to the Partner Program's website (partnerscz.synottip.com).

5.4 The Partner prepares an invoice where the minimum length of the invoicing period is one calendar month and by sending it to the address uctarna@synottip.cz he requests the payment of his commission at any time at his own discretion, but only after meeting the conditions specified in paragraphs 5.1 and 5.2. The due date of the tax document (invoice) is thirty (30) days from its demonstrable sending to SYNOT TIP. Commissions for payment in the Partner Program are displayed to the Partner, including value added tax, if the Partner is a payer. If the Partner has any complaint regarding commissions and billing, SYNOT TIP must notify the email no later than 8 days after the billing of commissions for the given month is made available to him.

5.5 If all customers brought in by the Partner generate a loss for SYNOT TIP for a given calendar month, a zero commission is considered for this month for the purposes of calculating the total commission. A negative commission earned in a given calendar month is not carried over to the next calendar month.

6. Rights and obligations of SYNOT TIP

6.1 SYNOT TIP has the right to immediately terminate the cooperation with the Partner without the possibility of appeal if it suspects that the Partner uses links for any form of spam or if it promotes the SYNOT TIP service in a manner that is in violation of these Terms.

6.2 SYNOT TIP reserves the right to change the Terms and Conditions of the Affiliate Program at any time by unilateral notification to the Affiliate.

6.3 SYNOT TIP shall bear all costs related to the creation of advertising media.

6.4 SYNOT TIP makes its own link and advertising resources available to the Partner.

6.5 SYNOT TIP reserves the right, at its discretion, to reject the Partner's participation in the Partner Program, ie in particular not to accept him as a Partner or to exclude him from the Partner Program at any time and to terminate the contractual relationship with him immediately in accordance with point 8.1.

6.6 The SYNOT TIP company records the profits from the brought in customers, calculates the partner commissions realized via the partner links and provides the Partner with regularly updated performance statistics of his campaigns.

7. Rights and obligations of the Partner

7.1 The Partner declares that the information provided to SYNOT TIP in the online application is true and complete. If any information changes, the Partner is obliged to update this information immediately.

7.2 The Partner declares that he operates the Partner Website in his own name and has the full right to fully use this website.

7.3 The Partner pays all costs associated with the implementation of advertising resources on the Partner's website and costs related to the display of advertising resources.

7.4 The Partner may only use graphics and materials generated in the SYNOT TIP Partner Program and may not modify these advertising media in any way.

7.5 The Partner is solely responsible for the development, operation, maintenance and content of the Partner Website. The Partner is responsible for ensuring that the content of the Site is not offensive, defamatory or illegal. In such cases, SYNOT TIP disclaims any liability. The Partner is also obliged to indemnify SYNOT TIP for all claims, damages and costs (including unlimited legal costs) that arise directly or indirectly from the development, operation, maintenance and content of the Partner's Website.

7.6 The SYNOT TIP Affiliate Program is intended only for the participation of registered and approved Partners and Affiliate Websites. The partner may not open partner accounts on behalf of other participants. Opening a partner account for a third party, arranging a partner account or transferring an account is not accepted.

7.7 A Partner may not open more than one Partner Account without the prior written consent of SYNOT TIP. Within one Partner Account, a Partner may use and manage multiple Partner Websites. The Partner also may not receive a commission for his own player account (player user account) or the player account of a person who has any family relationship with the Partner.7.8 In the event of abuse of these Terms and Conditions of the Partner Program by the Partner, even only in the trial phase, especially in the Partner's attempt to obtain or obtain unauthorized commission, or if SYNOT TIP suspects any unfair or other fraudulent conduct of the Partner. SYNOT TIP is entitled to immediately terminate the contractual cooperation with the Partner, while the Partner loses the right to the payment of any due and unpaid commission and the Partner is obliged to return to SYNOT TIP all paid within the Partner Program commission, if the SYNOT TIP requests him to return it, within 10 days from the delivery of such a request by email or other suitable means.

7.9 The Partner is not entitled to present the Partner Website in such a way that there could be a risk of confusion with the SYNOT TIP website or the impression that the Partner Website is a website operated by SYNOT TIP.

7.10 The Partner undertakes that the Partner Website will not only be set up for advertising purposes, but will also have its own content.

7.11 The Partner may not use a domain or subdomain that could be confused with SYNOT TIP domains.

7.12 The Partner acknowledges that SYNOT TIP may at any time enter into agreements with other Partners under the same or different conditions than those provided to the Partner.

7.13 Under no circumstances may the Partner act in a manner that could compromise the integrity of SYNOT TIP.

7.14 The Partner is obliged to keep his username and password secret

7.15 The Partner will use all advertising resources provided under this program in accordance with these Terms and will not provide them to any third party.

7.16 Any visit that did not lead from the Partner's proper advertising space (banner, text link, widget, etc.) and was likely to be redirected automatically will not be recognized as an incoming visit leading to a recognized conversion. This conduct is considered unfair and may lead to termination of cooperation with the Partner.

7.17 The Partner may not use any means to artificially increase the number of impressions, clicks or to obtain cookies, including manual methods.

7.18 The Partner may not embed any SYNOT TIP site in the iframe.

7.19 The Partner may not participate in pay-per-click programs (eg Sklik, AdWords).

7.20 When sending affiliate e-mail, the partner undertakes to comply with the following rules of e-mail communication:

The subscriber must be able to unsubscribe from the newsletter at any time.

The SYNOT TIP company name must not appear in the sender's name and e-mail address.

All addresses from the database must be allowed to receive news from the Partner - the Partner may not send unsolicited mail. When agreeing to send commercial communications, the Partner must notify the recipient that the emails may contain third party marketing communications.The subscriber must be free to unsubscribe from the newsletter at any time.

The partner is obliged to use only such e-mail addresses, the owners of which are older than 18 years.

Email must not contain false or misleading information.

Email must not contain malicious software or attachments.

The e-mail must contain visible information that this is not a standard communication of SYNOT TIP.

The Partner may only use graphics and materials obtained in the SYNOT TIP Partner Program and may not modify these advertising media in any way.

The Partner is not entitled to present the Partner Website (or e-mail communication) in such a way that there could be a risk of confusion with the SYNOT TIP website or the impression that the Partner Website is a website operated by SYNOT TIP.

The Partner will use all advertising funds provided under this program in accordance with these Terms and will not provide them to any third party

Under no circumstances may the Partner act in a manner that could jeopardize the integrity of SYNOT TIP or otherwise harm SYNOT TIP.

In the event of a breach of any of the above rules, SYNOT TIP reserves the right to terminate the cooperation without the right to a commission.

7.21 The Partner is obliged to respect the method of calculating its commission and its amount, which will be determined by the SYNOT TIP in accordance with point 4 of these Conditions.

7.22 The Partner may only place banners containing warnings from the Ministry of Finance on its website. The absence of these elements, their poor visibility on the web or the use of old banners that do not meet legislative requirements, will be considered a gross violation of these conditions, as § 5j of Act No. 40/1995 Coll., On the regulation of advertising, as amended.

8. Validity and termination

8.1 The Affiliate Program is a contractual relationship between SYNOT TIP and the Partner, which is established in accordance with point 3.1 of these Terms and Conditions, which are binding for each participant in this contractual relationship and with which the Partner agrees by registering for the Affiliate Program. The affiliate program is concluded as a contractual relationship for an indefinite period and each of its participants is entitled to terminate it at any time:

- written withdrawal, if one of the contracting parties materially violates its provisions, the Partner will be considered a material breach of this contract in particular that the Partner will act in violation of these Conditions;

- written immediate notice from Synot Tip even without giving a reason and written notice from the Partner with a notice period of one month without giving a reason. The notice period begins on the day following the day on which the notice was delivered to the other party.

8.2 Any termination of the Affiliate Program does not release the participants in this contractual relationship from meeting their obligations under these Terms, especially as regards the Partner's possible obligation to return to SYNOT TIP the commission paid to the Partner under these Terms.

8.3 After the termination of the Partner Program, the Partner is obliged to immediately remove all advertising resources of SYNOT TIP from its website, no later than within one week from the end of the Partner Program. If the Partner does not fulfill this obligation, SYNOT TIP is entitled to claim a contractual penalty in the amount of 10 times all commissions paid to the Partner so far. The contractual penalty will be paid by the Partner on the basis of an invoice issued by the Operator. The maturity of this invoice is 30 days from its delivery to the Operator.

9. Warranties and consequences

9.1 All denunciations, withdrawals and other notices between the parties relating to these Conditions or which are to be made on the basis of these Conditions must be made in writing and delivered to the relevant party either via data boxes, in person, to an electronic address. (e-mail), by registered letter or by courier service, unless otherwise stipulated by these Conditions or agreed between the contracting parties in a written amendment.

9.2. Notices sent by registered letter, e-mail or courier service are deemed to have been received on the third (3) day after their demonstrable dispatch. Notifications sent via the data box shall be deemed to have been received when the notification of successful delivery of the notification to the relevant Contracting Party is received.

10. Limitation of liability

10.1 SYNOT TIP does not provide any obvious or hidden guarantees within the Affiliate Program in relation to the calculation and payment of advertising commissions.

10.2 SYNOT TIP does not warrant that the operation of the Company's website will be uninterrupted or error free. The operator is not responsible for any consequences of any interruptions or errors, if any.

10.3 In the event of discrepancies between the Affiliate Program records (partnerscz.synottip.com) and the SYNOT TIP database, the records from the database will be deemed correct.

11. Final provisions

11.1 SYNOT TIP will not be liable for indirect, extraordinary or consequential damages (or any loss of income, profits or data) incurred in connection with this Affiliate Program Agreement.

11.2 The aggregate liability of SYNOT TIP arising from this Agreement and the Affiliate Program shall not exceed the total amount of advertising commission paid or payable under this Agreement.

11.3 Any liability arising from this agreement should be satisfied by advertising commissions and is limited to direct damages.

                                                               12. Final provisions

12.1 SYNOT TIP reserves the right to make any changes to the Terms and Conditions of the Affiliate Program at any time, or to suspend or terminate this program. Every change of the Conditions is valid from the publication of their new wording. SYNOT TIP is obliged to subsequently notify the Partner about the change of the Conditions.

12.2 Notice of change or news will be published on the Affiliate Program website and in these Terms and Conditions. Adjustments may include, for example, changes in the scope of commissions offered and other changes in the rules of the Affiliate Program.

12.3 In the event of any disputes relating to any Affiliate Program, the opinion of SYNOT TIP shall prevail.

12.4 By participating in the program, the Partner confirms that he has been acquainted with these Conditions and agrees with them in full.
